Pentair plc (NYSE:PNR) has signed a definitive agreement to purchase Hydra-Stop LLC, a specialist in valve solutions, from Madison Industries.
The deal is valued at roughly $290 million in cash, subject to standard closing adjustments, and could finalize by the end of 2025 pending regulatory approval. After factoring in estimated tax benefits of around $50 million, the net transaction value is expected to be about $240 million, the company stated.
Headquartered in Burr Ridge, Illinois, Hydra-Stop employs just over 50 staff members and focuses on producing insertion valves and water service equipment. The firm anticipates generating $50 million in revenue by 2025, with a sales return margin near 30%.
Pentair plans to integrate Hydra-Stop into its Commercial and Infrastructure unit, which delivers solutions for municipalities and service providers aimed at reducing waste and maintaining water supply systems.
De’Mon Wiggins, Executive Vice President of Pentair Flow, said the acquisition strengthens the company’s ability to “offer differentiated solutions to address critical challenges related to water flow and conservation,” noting the strong cultural alignment between the two organizations.
Based in London, Pentair reported $4.1 billion in revenue for 2024, providing water management solutions across residential, commercial, industrial, and agricultural sectors.
