AmpliTech Launches Shareholder Rights Offering to Fund Expansion and Innovation

AmpliTech Group, Inc. (NASDAQ: AMPG) announced yesterday plans to launch a transferable unit rights offering for shareholders and certain warrantholders, aimed at raising capital to expand its U.S. manufacturing capabilities, accelerate R&D, and advance product commercialization across satellite, 5G/6G, and quantum technology markets.

Under the proposed offering, AmpliTech will distribute two transferable unit subscription rights for each common share or warrant held as of the record date. Each unit will be priced at $4.00 and will consist of one share of common stock and two short-term rights to purchase additional shares. The offering allows investors who fully exercise their rights to oversubscribe for additional units, subject to availability and potential pro-rata allocation.

The record date for the distribution of rights is November 7, 2025, which means investors must purchase AmpliTech shares by that date to qualify. The company expects to provide final details—including the record date, expiration dates, and pricing information—in a forthcoming prospectus filed with the U.S. Securities and Exchange Commission (SEC).

“We are committed to scaling our operations and deepening vertical integration to strengthen supply chain resilience and support our long-term growth strategy,” AmpliTech said in a statement. The company added that proceeds will be used for manufacturing expansion, strategic partnerships, R&D initiatives, and working capital needs.

Moody Capital Solutions, Inc. has been appointed as dealer-manager for the rights offering, providing advisory and execution support. Shareholders and warrantholders are encouraged to contact their brokers or financial advisors to ensure their ability to participate.

For more information or to obtain a copy of the prospectus, investors can email [email protected]. Broker-dealers and institutions may contact Moody Capital directly at [email protected].

AmpliTech emphasized that this announcement does not constitute an offer to sell or a solicitation to buy any securities, noting that the rights offering will be made only through an official prospectus filed with the SEC.
