FF EAI Robotics Launches $2,490 Humanoid Robot and Agrees $200 Million Acquisition of Faraday Future Robotics Assets

FF EAI Robotics Ecosystem Inc. (NASDAQ:FFR) and Faraday Future Intelligent Electric Inc. (NASDAQ:FFAI) have announced the launch of two humanoid robots and signed definitive agreements for FFR to acquire FFAI’s robotics business through an all-stock transaction.

The announcement, dated 15 October 2026, introduces the FF Nova humanoid robot, priced at $2,490, and the FF Nova Mini, an educational robot priced at $299.

The companies also disclosed an agreement valuing Faraday Future’s robotics assets at approximately $200 million and FFR at approximately $60 million on a fully diluted basis.

The proposed acquisition would give FFAI a controlling interest in FFR, subject to the completion of several regulatory, corporate and shareholder-related conditions.

FF Nova Humanoid Robot Launches at $2,490

FFR has introduced the FF Nova as an entry-level humanoid robot designed for developers working with embodied artificial intelligence.

The robot is priced at $2,490, with an optional Developer Skills Package available for an additional $390.

According to the company, the FF Nova features 20 degrees of freedom, allowing movement across multiple joints and mechanical components.

Its hardware includes LiDAR technology, depth-sensing capabilities and a circular microphone array intended to support environmental perception and interaction.

The robot also supports a Robot Operating System 2 (ROS 2) development workflow, providing developers with a framework for creating and testing robotic applications.

The initial Phase One release is limited to 100 units, with the first 20 available for immediate delivery.

The restricted initial production volume indicates that the launch is beginning with a relatively small number of units rather than a large-scale commercial rollout.

FFR has not disclosed a timetable for additional production phases or provided sales forecasts for the FF Nova.

FF Nova Mini Targets Education Market at $299

Alongside the FF Nova, the companies introduced the FF Nova Mini, a smaller humanoid robot intended for educational applications.

The device is priced at $299 and is designed for children and teenagers aged eight and older.

An accompanying educational curriculum is available for $499.

The FF Nova Mini weighs less than one kilogram and incorporates an aluminium-alloy frame.

The companies describe the product as a bipedal humanoid robot suitable for K–12 classrooms, after-school programmes and home learning environments.

Its positioning is intended to make humanoid robotics accessible to younger users and educational institutions.

The optional curriculum provides an additional product offering aimed at supporting structured learning activities.

FFR has not disclosed expected sales volumes or revenue projections for the educational robot.

FFR Agrees to Acquire FFAI Robotics Business in All-Stock Transaction

FFR and FFAI signed definitive acquisition agreements on 12 October 2026, establishing the terms for the proposed transfer of Faraday Future’s robotics business.

Under the agreement, FFAI’s robotics assets are valued at approximately $200 million.

FFR is valued at approximately $60 million on a fully diluted basis for the purposes of the transaction.

The acquisition will be financed through the issuance of FFR shares rather than a cash payment.

The companies agreed on an issuance price of $2.246 per share, representing an approximately 50% premium to FFR’s closing share price of $1.50 on 12 October.

Following completion, FFAI is expected to own approximately 65.7% of FFR.

The ownership structure would make Faraday Future the majority shareholder in FFR, reflecting the relative valuations assigned to the two businesses.

All newly issued shares under the transaction will be subject to an 18-month lockup period, restricting their sale during that time.

Transaction Remains Subject to Shareholder Approval

Although definitive agreements have been signed, the proposed acquisition has not yet been completed.

Closing remains subject to several conditions, including the completion of FFAI’s internal corporate restructuring.

The companies must also finalise agreements with certain key employees associated with the robotics business.

In addition, the transaction requires shareholder approval under applicable Nasdaq listing rules.

These requirements must be satisfied before the transfer of the robotics assets and the issuance of the agreed shares can be completed.

The companies have not provided a confirmed closing date.

The proposed ownership structure and asset transfer therefore remain dependent on the successful completion of the outstanding conditions.

FFR Secures Up to $10 Million in PIPE Financing

FFR has secured up to $10 million in first-round private investment in public equity (PIPE) financing.

The financing is priced at market, without a discount or accompanying warrants.

PIPE transactions involve private investors purchasing securities issued by publicly traded companies, providing an additional source of capital.

The announced financing represents a potential source of funding as FFR expands its robotics operations and pursues the proposed acquisition.

The company did not provide a detailed allocation of the proceeds or specify the amount already received under the financing arrangement.

The funding announcement accompanies the launch of the new humanoid products and the agreement to acquire FFAI’s robotics assets.

Nvidia Isaac Platform Supports Developer Programme

FFR and FFAI also announced the launch of the Physical AI Reinforcement Learning Developer Program.

The initiative is built on Nvidia’s Isaac platform, which provides technology for robotics development and simulation.

The programme is intended to support developers working on physical artificial intelligence applications, including the development and testing of robotic behaviours.

The companies have also begun limited, invitation-only recruitment for a developer community.

The initiative is designed to establish a network of participants who can work with the companies’ robotics technologies.

FFR has not disclosed the expected number of developers or a timetable for expanding participation beyond the initial invitation-only phase.

Robots Available Through Online Sales Channels

The companies said their robotics products are available through FF.com, FF Mall and an official Amazon store.

These distribution channels provide a direct route for customers and developers to access the newly introduced products.

The initial availability of the FF Nova is limited to 100 units in Phase One, including 20 units designated for immediate delivery.

The FF Nova Mini is positioned for educational institutions, families and younger users, while the FF Nova is intended primarily for developers and other users exploring embodied AI applications.

FFR Chief Executive Officer Jerry Wang described the launches as part of the company’s efforts to make physical artificial intelligence more widely available.

The launches “mark an important step for FFR in bringing Physical AI from the laboratory to real-world applications accessible to developers, educational institutions, schools, and families,” Wang said.

Acquisition and Product Launches Expand FFR’s Robotics Strategy

The announcements represent several developments for FFR, including the introduction of two humanoid robots, the proposed acquisition of Faraday Future’s robotics business and the establishment of additional financing.

The FF Nova and FF Nova Mini address different customer groups, with the larger robot targeting developers and the smaller model focusing on education.

The proposed $200 million robotics asset acquisition would significantly change FFR’s ownership structure, leaving FFAI with an expected 65.7% controlling stake following completion.

Meanwhile, the financing arrangement of up to $10 million and the developer programme built on Nvidia Isaac provide additional elements of the company’s robotics expansion plans.

However, the acquisition remains conditional, initial FF Nova availability is limited, and the companies have not disclosed financial forecasts for the new products.

Investors will be monitoring the completion of the transaction, the deployment of the initial robot units and subsequent developments in FFR’s commercial robotics operations.
