NUBURU Repays $16.75 Million in Debt to Advance Tekne Acquisition (USOTC:BURU)

NUBURU eliminated two major debt obligations days after completing a $38 million public offering, freeing capital as it works toward its proposed acquisition of Tekne.

Key Investor Takeaways

  • NUBURU (USOTC:BURU) repaid approximately $16.75 million in outstanding principal, eliminating recurring debenture amortization obligations.
  • The NUBURU debt repayment simplifies the company’s capital structure following its recent $38 million financing.
  • Remaining offering proceeds are intended to support the proposed acquisition of a 70% controlling interest in Tekne, subject to regulatory approval.
  • The company continues to trade on the OTC Pink market while pursuing a return to the NYSE American exchange.
  • Investors will be watching progress on Italy’s Golden Power review and the remaining conditions required to complete the Tekne transaction.

Why BURU Stock Is in Focus

NUBURU announced it has fully repaid the remaining approximately $15.5 million principal balance of its December 2025 debenture along with the entire $1.25 million principal of the subordinated convertible notes issued as part of its Lyocon acquisition. In total, the company extinguished approximately $16.75 million of debt only days after closing its recently completed $38 million public offering.

According to the company, retiring the debenture permanently removes its recurring monthly amortization payments and eliminates the requirement to direct equity-line proceeds toward debt servicing. Management said the remaining net proceeds will primarily support the financial-assurance requirements tied to the Italian Government’s Golden Power review of NUBURU’s proposed acquisition of a 70% controlling stake in Tekne, while also funding working capital, acquisitions and execution of its Defense & Security platform.

“Completing these repayments within days of our financing demonstrates disciplined execution against the commitments we made to investors,” said Alessandro Zamboni, Executive Chairman and Co-CEO of NUBURU. “We have repaid approximately $16.75 million of principal obligations, eliminated the debenture’s recurring amortization burden and decisively simplified our capital structure. The current trading venue does not affect the capital already raised, the repayments completed or our intended allocation of remaining net proceeds toward the proposed Tekne transaction and platform execution.”

“With the debenture and Lyocon acquisition notes paid in full, our focus shifts even more decisively toward execution,” said Dario Barisoni, Co-CEO of NUBURU and CEO of NUBURU Defense LLC. “We will continue progressing the Golden Power process and the remaining Tekne closing conditions while accelerating the integration of software, photonics, electronic warfare and CEMA, defense mobility and advanced manufacturing into a unified Defense & Security platform.”

Why This Matters for Investors

Eliminating more than $16 million in debt reduces a significant financing obligation and removes recurring amortization payments that could have continued to pressure the company’s cash flows. A simpler capital structure may also provide greater financial flexibility as NUBURU pursues its acquisition strategy.

The announcement also demonstrates that the company has begun deploying proceeds from its recent financing in line with previously disclosed plans. That execution may help reinforce management’s broader strategy of building an integrated Defense & Security platform through acquisitions and strategic investments.

However, the proposed Tekne acquisition remains contingent on receiving Golden Power clearance from the Italian Government and satisfying other closing conditions. In addition, while NUBURU remains an SEC-reporting company and continues trading on the OTC Pink market, its efforts to regain compliance and resume trading on NYSE American remain subject to the exchange’s review process.

What to Watch Next

Investors will likely focus on progress toward obtaining Golden Power approval for the proposed Tekne acquisition and the satisfaction of the remaining closing conditions.

Additional attention will also be on NUBURU’s efforts to regain its NYSE American listing, the deployment of the remaining offering proceeds, and whether the company can translate its Defense & Security platform strategy into contractual orders and sustained revenue growth.
