Ambarella Inc. (NASDAQ:AMBA) shares surged Friday following reports that NXP Semiconductors N.V. (NASDAQ:NXPI) is in talks to acquire the California-based chip designer.
Ambarella gained nearly 20 per cent after the Financial Times reported the discussions, lifting its market value to almost US$3.9 billion. NXP shares moved in the opposite direction, declining more than 3 per cent as investors assessed the potential cost and execution risks of a transaction.
Negotiations remain preliminary, and there is no certainty that the companies will reach an agreement. Other prospective buyers could also enter the process. NXP declined to comment, while Ambarella did not respond to media requests.
Ambarella could expand NXP’s automotive AI portfolio
Ambarella develops low-power semiconductors and software for edge AI, which allows artificial intelligence models to operate directly on devices instead of relying on cloud-based processing.
Its image-processing technology is used in advanced driver-assistance systems, autonomous vehicles, security cameras and robotics. Those capabilities could complement NXP’s existing portfolio of automotive processors, connectivity products and security technology.
Automotive remains NXP’s largest market. The company generated US$1.94 billion in automotive revenue during its second quarter, an increase of 12 per cent from a year earlier and more than half of its total quarterly revenue.
NXP recently reported overall quarterly revenue of US$3.5 billion, up 19 per cent year over year. Management highlighted software-defined vehicles and physical AI as important growth drivers, reinforcing the strategic rationale for adding Ambarella’s edge-computing technology.
Semiconductor acquisition activity accelerates
The talks come amid increasing consolidation across the semiconductor industry as established chipmakers seek greater exposure to AI and automotive computing.
Ambarella was reportedly exploring a potential sale as early as June 2025, when its shares also rose sharply. The company had contacted possible strategic and private-equity buyers, although no transaction emerged at the time.
A deal would represent one of NXP’s more significant acquisitions in recent years. The company agreed to be acquired by Qualcomm Incorporated (NASDAQ:QCOM) for US$47 billion in 2016, but that transaction collapsed in 2018 after failing to secure Chinese regulatory approval.
For Ambarella investors, Friday’s share-price increase reflects expectations that a buyer may offer a premium to the company’s previous valuation. However, with negotiations unconfirmed and no price or financing terms disclosed, the stock remains exposed to a reversal if the talks end without a deal.
