Nexera Technologies Ltd. (NASDAQ:NEXR) has entered into a letter of intent with Nebo Holdings Limited that could see the company become the exclusive global reseller and distributor of Preempt OSINT, a cybersecurity platform designed to monitor darknet activity.
The proposed partnership would expand Nexera’s cybersecurity offering by giving it exclusive rights to commercialize the platform through a subscription-based model.
Preempt OSINT Targets Emerging Cyber Threats
Preempt OSINT is designed to monitor darknet marketplaces, private forums and encrypted communication channels for malicious activity targeting customer infrastructure.
The platform provides real-time threat intelligence and alerts to security operations centers, helping organizations identify potential cyber risks before attacks occur.
If the agreement proceeds, Nexera would market, resell and distribute the software to data center operators around the world.
The company would also have the authority to contract directly with customers, oversee client relationships, manage billing and determine its own resale pricing.
Proposed Agreement Covers Multi-Year Partnership
Under the terms outlined in the letter of intent, the proposed software license would run for an initial period of 36 months.
The exclusivity arrangement would match that term and could be extended for an additional 24 months if specified conditions are met.
The agreement would include an upfront licensing payment together with recurring monthly support fees.
Nebo would also provide technical support, product training and sales enablement services to assist Nexera with commercial deployment.
Definitive Agreement Still Pending
The transaction remains subject to several conditions before becoming binding.
These include the successful completion of a technical proof of concept, mutual due diligence and the required corporate approvals from both companies.
Nexera and Nebo have agreed to negotiate in good faith with the objective of signing a definitive agreement within approximately two weeks of the date of the letter of intent.
However, Nexera emphasized that there is no guarantee a final agreement will be executed or that the proposed commercial partnership will ultimately move forward.
