L3Harris Technologies (NYSE:LHX) shares dropped around 2.7% in premarket trading on Monday after the defence contractor announced that Chairman and Chief Executive Officer Christopher Kubasik had left the company with immediate effect following a review of his conduct.
The board appointed Sam Mehta as president and chief executive officer, effective immediately, while lead independent director Lewis Hay III was named independent chairman. Kubasik has also stepped down from the L3Harris board.
Board investigation leads to leadership change
L3Harris said it became aware of conduct involving Kubasik that was inconsistent with the values set out in the company’s Code of Conduct.
However, the company stressed that the matter was unrelated to its financial reporting, internal controls, customer relationships or operational performance.
After conducting an investigation with assistance from independent counsel, the board concluded that entering into a separation agreement with Kubasik was in the company’s best interests.
“The Board and Chris have agreed that implementing our succession plan today is the right thing to do. We thank him for his service,” Lewis Hay III said.
Sam Mehta takes over as chief executive
Mehta joined L3Harris in 2023 and brings more than 25 years of strategic and operational leadership experience across the aerospace and defence sector.
Before becoming CEO, he served as president of the company’s Space & Mission Systems and Communications & Spectrum Dominance segments, overseeing their strategy, financial performance and growth.
Together, those businesses account for more than 80% of L3Harris’ total revenue, giving Mehta substantial experience managing the company’s largest operations before moving into the top executive position.
L3Harris reshuffles senior management
Mehta’s promotion has prompted additional changes within the company’s leadership structure.
Lauren Barnes, previously president of Spectrum Superiority, has been appointed president of Space & Mission Systems, while Christopher Aebli, formerly president of Mission Critical Communications, will become president of Communications & Spectrum Dominance.
The appointments provide internal successors for the businesses previously overseen by Mehta.
2026 financial guidance reaffirmed
Despite the sudden leadership transition, L3Harris maintained its existing outlook for 2026.
The company reaffirmed its guidance for consolidated revenue, organic growth, segment operating margin, GAAP earnings per share and free cash flow.
Maintaining the outlook signals that L3Harris does not currently expect Kubasik’s departure to affect its underlying operating or financial performance, although the immediate market reaction saw shares move lower ahead of Monday’s opening bell.
